Distance Sales Agreement

1. Parties

• BUYER: the person or business placing an order or starting a subscription on naponi.com, as identified in the order/account details.

2. Subject

This agreement governs the sale and delivery of (a) custom QR-printed hardware (QR plates, stands, stickers, table tents, cards, door hangers, etc.) and/or (b) the AI Menu digital subscription ordered electronically on naponi.com, in line with Turkish Consumer Protection Law No. 6502 and the Distance Contracts Regulation. Where the Buyer is a merchant, consumer-specific provisions do not apply and the Turkish Commercial Code and general provisions govern.

3. Products, Services and Price

• Name, features, quantity, size, unit and total price are as shown on the order screen and order summary.
• For sales in Türkiye, hardware prices include VAT; whether subscription prices include VAT is stated on the pricing page.
• Shipping is shown as a separate line in the order summary and added to the total.
• For international orders prices are shown in the relevant currency; import duties and taxes in the destination country are borne by the Buyer unless stated otherwise at checkout.

4. Payment

Payment is made by the methods offered at checkout (bank transfer or card via a licensed payment institution). Card details are never stored on Naponi servers. For subscriptions, with the Buyer's consent, recurring charges may be taken at the start of each monthly or yearly period.

5. Delivery

• Hardware goes into production after the Buyer approves the print content (QR code, table number, etc.) and payment is completed, and is handed to the carrier within the estimated time shown in the order summary and in any case within the 30-day legal maximum.
• Delivery is made to the address given at checkout.
• The AI Menu subscription is a digital service activated in the Buyer's Naponi account immediately upon payment confirmation.

6. Right of Withdrawal and Exceptions

• Consumer Buyers generally have 14 days from delivery to withdraw without giving a reason.
• Under Article 15/1-(ç) of the Distance Contracts Regulation, there is no right of withdrawal for goods made to the Buyer's specifications or clearly personalised (items printed with the Buyer's own QR code, business name or table number).
• Under Article 15/1-(ğ), there is no right of withdrawal for services performed instantly in electronic form. The AI Menu subscription is activated instantly upon payment and falls under this exception; by confirming the order the Buyer accepts this.
• For non-personalised, unprinted items the 14-day withdrawal right applies; items must be returned unused and in resaleable condition.

7. Defective Items and Print Errors

For print errors, wrong sizes or transit damage, the Buyer notifies [email protected] with photos within 14 days of delivery. Once verified, the item is reprinted free of charge or the price is refunded. Errors in content approved by the Buyer (wrong table number, typos, etc.) are not covered.

8. Subscription Term and Cancellation

• The AI Menu subscription runs for the selected period (monthly or yearly) and renews for the same period unless cancelled.
• The Buyer may cancel at any time from the business panel. Cancellation takes effect at the end of the current period; the service remains available until then and no refund is given for the remaining period.
• Naponi's core software (QR, menu, tips) is free and is not affected by cancelling the subscription.

9. Tips

Tips left by guests go directly to the payment link or bank account defined by the business. Naponi does not collect, handle or take any commission from tips; tip transactions are not the subject of this agreement.

10. Disputes

Consumer Buyers may apply to the Consumer Arbitration Committee or Consumer Court within the monetary limits set annually by the Ministry of Trade. For merchant Buyers, the courts and enforcement offices of Istanbul (Central) have jurisdiction.

11. Acceptance

At checkout or when starting a subscription, the Buyer confirms electronically that they have read and accept this agreement and the Pre-Information Form. The time of acceptance is stored with the order/subscription record.
